    RULES FOR ONLINE ROOM (SERVICE) RESERVATIONS



    USING THE EXELY BOOKING ENGINE


    Effective date/last update: September 27, 2024


    These Rules have been developed by HOTEL SALES WIZARD LLC FE (hereinafter referred to as EXELY), the copyright holder of the EXELY Booking Engine software, and apply when you (the User) book Rooms (Services) through the EXELY Booking Engine. Any booking of Rooms and additional Services made on the Hotel's website is carried out through the EXELY Booking Engine.




    By using EXELY Booking Engine, you confirm that you have read and understood these Terms and Conditions and agree to comply with and abide by them. If you disagree with any provision of the Terms and Conditions, you are not entitled to use EXELY Booking Engine.


    These Terms may be changed without prior notice. The amended Terms shall come into force on the date of publication on the websitewww.exely.com and in EXELY Booking Engine. If the User does not agree with the changes made to the Terms, they must stop using EXELY Booking Engine.




    EXELY Booking Engine is a booking service that provides Users with the technical ability to independently book Rooms (Services) in Hotels.


    Room (Services) means a set of services for temporary accommodation in Accommodation Facilities, as well as other services booked by the User using EXELY Booking Engine.


    Hotel means premises provided for accommodation Rooms (Services) (Hotel, Sanatorium, Mini-hotel, Hotel complex, etc.). 


    User means you, the person who books a Room (Services) using the EXELY Booking Engine, or the person you represent.


    EXELY is not an agent of the Hotel selected by the User or an intermediary between the User and the Hotel. EXELY does not make reservations for the User at the Hotel.


    EXELY does not charge the User for booking Rooms (Services) at Hotels through the EXELY Booking Engine.



    RESERVATION AGREEMENT


    The User and the Hotel enter into an agreement on the preliminary reservation of the Room (Services) selected by the User after the reservation fee has been paid. Any claims and obligations in connection with the services provided shall be settled between the User and the Hotel. The party liable to the User under the agreement between the User and the Hotel is the Hotel where the Rooms (Services) are booked. A completed reservation can be paid for using any method available on the EXELY booking service, unless the Hotel has restricted the choice of payment methods. In the event that third parties, such as agents, technical intermediaries, or account owners used to accept payments for reservations made by the User through the EXELY Booking Engine, are involved in the reservation process, the Hotel remains the party responsible to the User for providing the reserved Rooms (Services) and for any refunds. The Hotel has the right to offer non-refundable rate plans. Under the terms of non-refundable rate plans, in case of cancellation or refusal to check in, the prepayment amount (partial or full) is not refunded and is retained by the Hotel as a penalty. Before completing the booking, you must carefully read the terms and conditions of special offers. The hotel where the User has booked a Room (Services) and accommodation issues documents confirming the period of stay and the method of payment used: acquiring or deferred electronic payment. The Room (Services) is reserved for the User during the booking process. Confirmation of the booking or pre-booking (depending on the selected payment method) is displayed on the screen immediately after the booking operation is completed. We recommend that Users print this confirmation and keep it for their records. In addition, the booking confirmation will also be sent to the email address or phone number provided by the User during the booking process.



    The Hotel or the EXELY service may contact you via email, phone, SMS, WhatsApp, Viber, or social media (such as Facebook) for the following purposes:




    • to confirm your personal information or booking details;




    • to notify you of an incomplete booking;




    • to remind you of an upcoming booking a few days before check-in;




    • to send you promotional offers from the Hotel after your departure, as well as other marketing communications;




    • to request a review of the Hotel;




    • to request feedback on the online booking service;




    • to offer visa support, airport transfer services, or flight booking assistance;




    • to invite you to participate in a hospitality market survey.




    HOTEL INFORMATION


    The international star rating system for hotels is designed to assess the quality of hotels. The star rating information for the Hotel provided in the EXELY Booking Engine is provided by the Hotel. THIS INFORMATION IS NOT VERIFIED BY EXELY. Hotels independently submit all additional information, descriptions, prices of rooms (services), their location, and other data to the EXELY Booking Engine.


    EXELY is not responsible for any incorrect information provided by the hotel.


     


    ROOM RATE (SERVICE)


    All prices listed by the EXELY booking service are set by the hotels and are valid for all types of bookings under the terms and conditions determined by the hotels. Bookings are made at prices valid for the intended period of stay. Special offers created by Hotels in the EXELY Booking Engine are automatically taken into account when the system calculates the cost of accommodation. The Hotel guarantees that the prices for rooms and services displayed in the EXELY Booking Engine are valid for each booking.


    All prices indicated by the Hotel in the EXELY Booking Engine are valid for one room/apartment/house during the selected period of stay and include (non-taxable) services (for hotels only) specified in the Room (Services) description. In accordance with applicable internal rules and regulations, Hotels are required to set prices including taxes in the EXELY Booking Engine. However, such prices may not include certain fees imposed by local authorities.


    Prices in the EXELY Booking Engine are displayed in the currency used by the Hotel. The booking service allows prices to be converted into other currencies.



    PAYMENT OPTIONS FOR RESERVATION


    By Bank Card via EXELY Booking Engine using Online Payment Gateway:

    • In the EXELY Booking Engine, the User selects the “Bank Card” payment method and pays the amount specified by the Hotel in the payment window of the Payment System.
    • If the User pays only part of the cost of the Room (Services) during booking, the remaining amount is paid upon check-in at the Hotel.


     Deferred Electronic Payment:

    • The User may either enter the booking information in the EXELY Booking Engine or provide it directly to the Hotel without EXELY’s involvement.
    • Based on the information provided by the User or the Hotel, the EXELY Booking Engine sends an automatic email with the booking details and a payment link.
    • The User follows the link to pay via bank card.
    • Once the payment is completed, the EXELY Booking Engine generates and sends a Booking Confirmation to the User's email address.
    • If only a portion of the Room (Services) cost is paid during booking, the balance is payable upon check-in at the Hotel.
    • Payment must be completed within the period specified by the Hotel during the preliminary reservation.
    • If the User fails to pay on time, EXELY will automatically cancel the booking.



    Bank Transfer (Wire Payment):

    • If the User selects Bank Transfer, they will receive the Hotel’s bank details for payment.
    • After completing the transfer, the User must send a payment confirmation to the Hotel.
    • The booking is considered confirmed only after the Hotel verifies receipt of funds.
    • The deadline for payment is determined by the Hotel.
    • Failure to pay on time may result in automatic cancellation of the reservation.


     


    Credit Card Guarantee


    • The User provides their credit card details in the appropriate fields in a secure window with the domain name exelypayments.com.
    The domain exelypayments.com is owned by EXELY.
    The entered information is transmitted to the selected Hotel via secure communication channels through a secure server as a booking guarantee.
    The Hotel independently decides whether to charge the User’s credit card using its own acquiring system.
    If the Hotel is unable to perform the operations required to secure the reservation using the provided credit card, it has the right to cancel the User’s reservation.

    • The User is responsible for ensuring that their credit card is valid and that sufficient funds are available to complete the transaction.


    “Bank card guarantee”


    • The user enters their bank card details in the appropriate fields in the window that opens with the domain name exelypayments.com. The domain name exelypayments.com belongs to EXELY.



    The information entered will be sent to the hotel selected by the user via secure communication channels through a secure server as a booking guarantee.


    The hotel independently decides whether to debit funds from the user's bank card through the hotel's acquiring system.


     If the hotel is unable to perform the bank card transactions necessary to secure the order, it has the right to cancel the user's reservation.


    • The user is obliged to ensure that their bank card has not expired and that there are sufficient funds in the account to make the payment.



    “Payment upon check-in”


    • The user pays for the reservation upon arrival at the hotel.





    MODIFICATION OF RESERVATION


    EXELY Booking Engine allows the User to modify the following reservation details:


    • check-in / check-out dates
    • early check-in and late check-out options
    • additional services (available only in hotels)
    • guest contact information
    • guest comments
    • room type (available only in hotels)


    These changes apply only to already confirmed bookings.


    Users can only edit this information in the EXELY Booking Engine by clicking on the link in the booking confirmation received by email.


    It is prohibited to make any changes that affect the prepayment using any of the payment options offered by EXELY Booking Engine.


    You can cancel your booking in EXELY Booking Engine and make a new booking with the necessary changes. Before doing so, please read the Cancellation Policy.



    CANCELLATION OF RESERVATION


    To avoid confusion, reservations are always canceled through the EXELY Booking Engine service. EXELY Booking Engine guarantees that the hotel where the reservation needs to be canceled will be immediately notified of this action. Reservations can only be canceled in the EXELY Booking Engine system using the link and access code from the Reservation Confirmation sent by email after the reservation is completed. A notification of the reservation cancellation is sent to the User after the relevant procedure is completed. If the User is unable to cancel the reservation as described above, we recommend contacting the Hotel's reservation department. If the User has paid by credit card or used a deferred electronic payment, the payment amount will be refunded and transferred to the credit card or digital wallet used for payment within the period specified by the payment service provider. This period usually does not exceed 45 business days from the date of payment made in the EXELY Booking Engine. The time between the refund transaction and the actual crediting of funds to the User's account depends on the internal processes of the bank and the payment service provider. If the “Credit Card Guarantee” payment method is used, the Hotel is responsible for refunding the amount transferred from the account. In case of cancellation, we recommend contacting the Hotel directly to resolve the refund issue. In case of late cancellation or no-show, the Hotel has the right to charge a penalty. Each Hotel sets its own cancellation policy, including the terms and amount of the penalty. When booking a Room (Services), you must carefully read the booking conditions, special offers, and late cancellation conditions set out on the Hotel's website, the booking service, and in the booking confirmation. In case of early departure of the guest, the Hotel has the right to impose a penalty in connection with the losses incurred.



    INFORMATION SECURITY


    The information specified by the User as necessary for making a reservation is transferred to the Hotel. Some of this information may be sent to a third party. Such a third party has the right to send the User an email to obtain feedback on the quality of the Room (Services). The User has the right to unsubscribe from third-party mailings in the first email received. By accepting the terms of these Rules, the User consents to the collection, systematization, accumulation, storage, clarification (updating and modification), use, and transfer of personal data to the Hotel and third-party providers, as well as to the depersonalization and deletion of their personal data (name, email address, phone number, and citizenship, and other data provided by the User through the EXELY Booking Engine). This personal data is requested in order to provide services to the User or to respond to their requests. The specified data is contained in the Booking Confirmation, reporting, and accounting documents. Email addresses are used to collect feedback on the quality of the services offered by the Hotel. The User consents to any actions with personal data in accordance with the EXELY Booking Engine Privacy Policy and Cookie Policy for the purposes of the User Agreement. These purposes include online booking at the Hotel, generating reports and accounting documents, and receiving feedback on the quality of the services provided by the Hotel. If the User is provided with promotional emails, they have the option to unsubscribe from such mailings. Personal data is processed by EXELY Booking Engine in accordance with the EXELY Booking Engine Privacy Policy and Cookie Policy.


     


    OTHER PROVISIONS


    All information in the EXELY Booking Engine is as accurate as possible. However, errors and typos cannot be completely ruled out. All information about hotels (photos, prices, and text descriptions of rooms and services) is provided by the hotels themselves. Hotels are solely responsible for any inaccuracies in such information.


    The user uses the EXELY Booking Engine at their own risk. The EXELY Booking Engine is provided to the user “as is.” EXELY bears no responsibility, including responsibility for the fulfillment of the user's goals through the EXELY Booking Engine. EXELY bears no responsibility for any losses incurred by the user as a result of using the EXELY Booking Engine.


    EXELY's liability is in any case limited to the amount of 100 euros, which is imposed only in the event of proven fault on the part of EXELY.


     


    These Terms constitute an agreement between the User and EXELY regarding the procedure for using the EXELY Booking Engine and supersede all previous agreements between the User and EXELY.

    “Rooms (Services)” refers to the set of accommodation services provided to you by the Hotel, as well as other services regulated by applicable local laws.

    “Processing” means any use of Personal Data, including its transmission, collection, recording, storage, use, analysis, combination, disclosure, or deletion.




    By booking Rooms (Services) using the System and/or providing us with your Personal Data, you confirm that you have read and consented to the use of your Personal Data as described in this Policy.


    WHAT PERSONAL DATA DO WE COLLECT?


    We may collect and process various types of Personal Data in the course of providing services through the use of the System. Such Personal Data may include, but are not limited to:

    • Technical information: IP address, device identifier, browser type, operating system, and other technical details about your device and interaction with our System.

    If required by applicable data protection laws, we will obtain your consent prior to processing your Personal Data for direct marketing purposes. Refusal to provide consent may prevent us from fulfilling important obligations and may hinder our ability to provide the requested services in the future. It is assumed that before submitting the Personal Data of guests traveling with you, you have obtained the necessary consent from such individuals to provide their Personal Data to us and have authorized us to use such Personal Data in accordance with this Policy.


    We collect and process Personal Data of minors only with the consent of their parents or other legal guardians. Otherwise, we are obligated to delete the Personal Data of minors. By booking Rooms (Services) using the System and/or providing us with your Personal Data, you consent to these procedures and confirm compliance with regulatory requirements.

    • Identifiers such as your name, email address, phone number, country of residence, gender, date of birth, citizenship, address, country of residency, username and password, social media account, booking number, loyalty program identification number, booking status, check-in and check-out dates, booking date and time, and all other information related to the booking, as well as your computer's Internet Protocol (IP) address, operating system and browser type, general geographic location, and other persistent identifiers.




    • Information about your internet activity and other electronic network activity, including pages you visit within the System, viewed links and advertisements, search terms entered, the Uniform Resource Locator (URL) of any website linked to, and the amount of time spent on a web page. This information is also used for the operation, maintenance, and servicing of our System.

    Hotels


    Our partners have agreements with the Hotels where you book your Room(s) (Services). Your Personal Data is shared with such Hotels in order to provide the services you have requested in connection with your Room (Service) booking. As Data Processors, we process your Personal Data strictly in accordance with the instructions of such Hotels and solely for the purpose of fulfilling contractual obligations.



    Service Providers, Partners, and Affiliates


    We engage service providers and partners to assist with business operations and the provision of services when you access our System. Our contracts specify that they may access your Personal Data solely for the purpose of providing such services. These partners may offer advertising services, process secure payments, provide technical services, manage customer relationships, analyze website traffic, offer translation or visa support services, send newsletters or surveys, support email or messaging services, administer polls and surveys, and analyze information. Some of our service providers or partners may also engage their own service providers or business partners to assist us further.
